Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") is entered into by and between St Soleil ("Company") and the affiliate ("Affiliate").

  1. Enrollment in the Program: By enrolling in the St Soleil Affiliate Program, Affiliate agrees to comply with all terms and conditions set forth in this Agreement.

  2. Affiliate's Responsibilities: a. Affiliate shall promote Company's products and services through approved methods and channels as approved at the time of your application. b. Affiliate shall use only authorized promotional materials provided by Company if and when provided and agree's not create their own promotions on behalf of the Company. c. Affiliate shall not engage in any deceptive, misleading, or unethical marketing practices. d. Affiliate shall not promote Company's products or services on websites or platforms containing adult, illegal, or offensive content. e. Affiliate shall not bid on Company's trademarked terms or use them in any PPC campaigns without prior written consent.

  3. Commission Structure: a. Affiliate shall earn a commission on qualifying sales referred to Company through their unique affiliate link or code. b. Commission rates and payout terms shall be determined by Company and communicated to Affiliate via their dashboard. c. Company reserves the right to modify commission rates and payout terms at any time.

  4. Payment: a. Earned Affiliate commissions shall be paid out by the Company either at the request of the Affiliate or monthly via AutoPay. b. Payments shall be sent to the preferred bank selected by Affiliate during enrolment or as nominated anytime thereafter by the Affiliate on their Affiliate Dashboard. c. Company reserves the right to withhold or cancel payments in the event of suspected fraudulent activity or violation of this Agreement. d. The Affiliate is responsible to ensure all bank details provided are accurate, the Company will not be held responsible for incorrect account details, please ensure you double check at the time of entering.

  5. Termination: a. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. b. Upon termination, Affiliate shall remove all affiliate links, promotional materials and cease promoting any supplied products provided by the Company.

  6. Miscellaneous: a. This Agreement constitutes the entire understanding between Company and Affiliate regarding the Affiliate Program and supersedes all prior agreements and understandings. b. This Agreement shall be governed by and construed in accordance with the laws of Wyoming, United States, without regard to its conflict of law provisions. c. Any disputes arising out of or relating to this Agreement shall be resolved through arbitration in Sheridan, Wyoming, United States in accordance with the rules of the American Arbitration Association.

By enrolling in the St Soleil Affiliate Program, Affiliate acknowledges that they have read, understood, and agree to comply with all terms and conditions set forth in this Agreement.
